Can you sell a Terra claim after receiving a distribution?

THE SHORT ANSWER

If you have received a distribution, a proposed sale needs to identify which rights remain and how that payment affects the deal. Tell the buyer about prior receipts and assignments before comparing prices. This guide is conditional; it does not announce that a Terra distribution has occurred or that your claim can be sold.

Prepare a record of what has already happened

Put the latest claim determination, any distribution notices, payment records and prior assignments together. The buyer needs to understand both what has been received and what is still owned.

The official claim record and the signed documents matter more than a generic label such as “remaining claim” or “stub”. Those labels do not define the rights by themselves.

Ask what the percentage applies to

A buyer might express a price against an allowed amount or against a specifically defined remaining entitlement. These are not automatically the same denominator. Do not calculate a “new claim amount” by simply subtracting a payment unless that is the agreed basis.

Deal with payments around closing

Ask the agreement to address a distribution received after the offer, after signing or before completion. Establish who keeps it, whether the purchase price changes and what notice or repayment obligation applies.

Check the same questions for future contingent recoveries and any rights retained by the seller. A purchase price is not a promise about the amount the estate will ultimately distribute.

What to include in a Terraloss enquiry

Who keeps a payment that arrives while the sale is pending?

That needs to be addressed in the actual agreement. Check the relevant dates, adjustment rules and obligations before signing; this article cannot decide the allocation for your transaction.
